1. Services & Fees
TMS Advisory provides advisory and consulting services to startups operating in the fintech and blockchain industries. Engagements cover areas such as regulatory strategy, risk management, product architecture, fundraising preparation, and go-to-market planning.
All fees are quoted in United States Dollars (USD) and are set out in a written engagement letter or statement of work agreed upon before work begins. Hourly, retainer, and project-based fee structures are available.
2. Payment & Currency
Payment is accepted via ACH bank transfer, domestic or international wire transfer, and USD-denominated stablecoins (USDC or USDT on networks agreed in writing). All amounts are billed and settled in USD unless otherwise stated in your engagement letter.
Invoices are due within [30] days of the invoice date unless an alternate schedule is specified. Overdue balances accrue interest at [1.5%] per month. We do not currently accept credit or debit card payments.
3. Refund Policy
Because our services are delivered as professional time and expertise, fees for work already performed are non-refundable. If you have paid a retainer or project deposit and wish to terminate the engagement before work begins, you may request a full refund within [5] business days of payment by contacting us at [email protected].
If work has commenced but the engagement is terminated early, we will refund the unused pro-rata portion of any prepaid fees, less any costs already incurred. Disputes regarding invoice amounts must be raised in writing within [14] days of the invoice date.
4. Delivery of Services
All deliverables (reports, memos, models, presentations) are provided electronically via email or a shared workspace. Standard delivery timelines are agreed in the engagement letter. We do not ship physical goods.
5. Eligibility & Restrictions
Our services are available to business entities only; we do not contract with individuals acting in a personal capacity. Clients must be duly formed legal entities in good standing in their jurisdiction of incorporation.
We do not provide services to entities that are subject to sanctions administered by OFAC, the UN, or the EU, or that operate in jurisdictions subject to comprehensive U.S. trade embargoes. We reserve the right to decline or terminate any engagement that would require us to violate applicable law, including U.S. securities regulations and FinCEN guidance on virtual asset activities.
Nothing in our engagement constitutes legal, tax, or investment advice. Clients are responsible for obtaining independent legal and regulatory counsel.
